HotelRegistrations Terms of Use
Thank you for using the HotelRegistrations.com website or mobile properties, including related applications (collectively, the “Site”), which are provided by Cognius, Inc. (“Cognius”). The terms “we”, “us”, “our” and “HotelRegistrations” refer collectively to Cognius and its affiliates and subsidiaries. The term “you” refers to the customer visiting the Site and/or contributing content on this Site.
Certain portions of the Site — specifically, the pages and features through which you search for, select, reserve, and pay for hotel rooms (the “Booking Pages”) — are owned and/or operated by Lexyl Travel Technologies, LLC (“Lexyl”). Lexyl processes payment for your reservation and makes available the room inventory, rates, and availability it obtains through arrangements with third-party hotel suppliers and partners. Your use of the Booking Pages, and any reservation you make through the Site, will also be governed by Lexyl’s Booking Terms & Conditions, which are presented to you and which you must accept at the time of booking. If there is a conflict between these HotelRegistrations Terms of Use and Lexyl’s Booking Terms & Conditions with respect to a specific reservation, Lexyl’s Booking Terms & Conditions will control.
In practice, this means that these Terms of Use and the Privacy Policy referenced in Section 3 below are linked on and apply to the Site pages we manage directly, such as the homepage. By continuing beyond the homepage to the search results, property pages, and checkout screen (i.e., the Booking Pages described above) you will be using a service powered by Lexyl, whose own Terms & Conditions and Privacy Policy linked on those pages will govern your use of them and any reservation you make there.
The Site is offered to you, the user, conditioned on your acceptance without modification of all of the terms, conditions, and notices set forth herein. Please read these Terms of Use carefully, as they contain information concerning your legal rights and limitations on those rights, as well as a section regarding applicable law and jurisdiction of disputes. Your use of the Site constitutes your agreement to these Terms of Use. If you do not accept all of these terms and conditions, please do not use the Site.
HotelRegistrations may, in its sole discretion, update or modify these Terms of Use at any time, and your continued access or use of the Site will constitute your acceptance of any such updates or modifications after they are posted. We will note the date on which updates were last made at the bottom of the Terms of Use, and any revisions will take effect upon posting. We may also notify our users of material changes to these Terms of Use by either sending a notice to the email addresses provided to us at registration (if any) or by placing a notice on our Site.
Section 1. Use of the Site
As a condition of your use of this Site, you warrant that (i) all information supplied by you on this Site will be true, accurate, current and complete, (ii) you will safeguard your account information and will supervise and be completely responsible for any activity on the Site through your account by anyone other than you, and (iii) you are at least 18 years of age if registering for an account and/or contributing to our Site. HotelRegistrations does not knowingly collect the information of anyone under the age of 18. We retain the right at our sole discretion to deny anyone access to this Site and the services we offer, at any time and for any reason, including, but not limited to, for any violation of these Terms of Use.
Section 2. Prohibited Activities
Some or all of the information on the Site, including but not limited to messages, data, information, text, music, sound, photos, graphics, video, maps, icons, software, code or other material (collectively, “Content”), as well as the infrastructure used to provide such Content, is proprietary to us. The Site and our HotelRegistrations publications (collectively, “Publications”) offered on or through the Site are for your personal and non-commercial use. You agree not to otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software, products, or services obtained from or through this Site. Additionally, you agree not to:
(i) use the Site or any of its Content for any commercial purpose;
(ii) access, monitor or copy any Content of the Site using any robot, spider, scraper or other automated means or any manual process for any purpose without our express written permission;
(iii) violate the restrictions in any robot exclusion headers on the Site or bypass or circumvent other measures employed to prevent or limit access to the Site;
(iv) take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;
(v) deep-link to any portion of the Site for any purpose without our express written permission;
(vi) “frame,” “mirror” or otherwise incorporate any part of the Site into any other website without our prior written authorization; or
(vii) attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by HotelRegistrations in connection with the Site or the services.

If you violate any of these Terms of Use, your permission to use any such material will automatically terminate and you must immediately destroy or return any copies of the material made by or for you.
Section 3. Privacy Policy and Disclosures
HotelRegistrations is concerned with protecting your privacy. You may read our most recent published Privacy Policy here (hotelregistrations.com/en/legal/). This policy may be changed at any time, with or without prior notice. All changes to our Privacy Policy will be posted on the Site.
Our Privacy Policy applies to the pages of the Site which we manage directly, such as the homepage. The Booking Pages operated by Lexyl (including the property pages, search results, and checkout screen) are instead governed by Lexyl’s own privacy policy, which is linked on those pages.
In certain circumstances HotelRegistrations may disclose information about you to third parties if we determine, in our sole discretion, that such disclosure is necessary (a) to protect our systems, assets, employees, members and/or customers; (b) to ensure the integrity and operation of our business and systems; and/or (c) to comply with legitimate and enforceable governmental requests, subpoenas or court orders. We may choose to comply with or object to such requests or orders in our sole discretion, either in whole or in part. This right of HotelRegistrations to disclose information, including but not limited to user profile information (e.g., name, email address, etc.), IP addressing and traffic information, usage history, and user-posted content, shall take precedence over any conflicting terms of the Privacy Policy.
Section 4. Forums and Other Interactive Areas
By your action(s) of emailing, posting or otherwise distributing any and all authorized user content (“User Content”) on or through the Site, unless we indicate otherwise, you grant HotelRegistrations a nonexclusive, royalty-free, perpetual, transferable, irrevocable and fully sublicensable right to (a) use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from and publicly display and perform such User Content throughout the world in any media, now known or hereafter devised, for any purpose; and (b) use the name that you submit in connection with such User Content.
If the Site contains forums, bulletin boards, chat rooms or other message or communication facilities (collectively, “Interactive Areas”), you agree that you are responsible for your own communications and for any consequences thereof and that you use such Interactive Areas at your own risk. You agree to use the Interactive Areas only to send and receive messages and materials that are legal, proper and related to the particular forum and not to harass, stalk or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
By using any Interactive Areas, you expressly agree not to post, upload to, transmit, distribute, store, create or otherwise publish through the Site any:
• Content that is unlawful, libelous, infringing, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable;
• Content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law, including without limitation the regulations of the U.S. Securities and Exchange Commission (SEC) or any rules of a securities exchange such as the New York Stock Exchange (NYSE), the American Stock Exchange or the NASDAQ;
• Content that may infringe any patent, trademark, copyright, trade secret or other intellectual property right of any party, unless you are the owner of such right(s) or have the permission of the owner to post or transmit such material;
• Content that impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity, including HotelRegistrations;
• Unsolicited promotions, political campaigning, advertising, contests, raffles, solicitations, surveys, contests, pyramid schemes or chain letters, other than in Interactive Areas intended for such uses;
• Private information of any third party, including without limitation surnames (family name), addresses, phone numbers, email addresses, Social Security numbers and credit card numbers;
• Viruses, corrupted data or any other harmful, disruptive or destructive files;
• Content that is unrelated to the topic of the Interactive Area(s) in which such Content is posted;
• Advertisements or offers to sell any goods or services for any commercial purpose, other than in Interactive Areas intended for such uses;
• Content that falsifies or deletes any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material; or
• Content or links to content that, in the sole judgment of HotelRegistrations, would (i) violate any of the previous subsections herein, (ii) be objectionable, (iii) restrict or inhibit any other reasonable person from using or enjoying the Interactive Areas or the Site, or (iv) potentially expose HotelRegistrations or any of its users to any harm or liability of any type.
HotelRegistrations takes no responsibility and assumes no liability for any Content posted, stored, or uploaded by you or any third party, or for any loss or damage thereto, nor is HotelRegistrations liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity you may encounter. As a provider of interactive services, HotelRegistrations is not liable for any statements, representations or User Content provided by others in any public forum, personal home page or other Interactive Area. Although HotelRegistrations has no obligation to screen, edit or monitor any of the User Content posted to or distributed through any Interactive Areas, it reserves the right, and has absolute discretion, to remove, screen, translate or edit without notice any User Content posted or stored on the Site at any time and for any reason, or to have such actions performed by third parties on its behalf, and you are solely responsible for creating backup copies of and replacing any Content you post or store on the Site at your sole cost and expense.
If it is determined that you retain moral rights (including rights of attribution or integrity) in any Content on the Site, you hereby declare that (a) you do not require that any personally identifying information be used in connection with such Content, or any derivative works of or upgrades or updates thereto; (b) you have no objection to the publication, use, modification, deletion and exploitation of such Content by HotelRegistrations or its licensees, successors and assigns; (c) you forever waive and agree not to claim or assert any entitlement to any and all moral rights of an author in any of that Content; and (d) you forever release HotelRegistrations, and its licensees, successors and assigns, from any claims that you could otherwise assert against HotelRegistrations by virtue of any such moral rights.
HotelRegistrations does not endorse, support, represent or guarantee the truthfulness, accuracy, or reliability of any communications posted in the Interactive Areas. Nor does it endorse any third-party opinions expressed in the Interactive Areas. You acknowledge that any reliance on any User Content posted in the Interactive Areas will be at your own risk.
If notified by a user of communications which allegedly do not conform to any provision of these Terms of Use, HotelRegistrations may investigate the allegation and determine in good faith and in its sole discretion whether (or not) to remove or request the removal of the communication. HotelRegistrations will have no liability or responsibility for performance or non-performance of such activities. HotelRegistrations reserves the right to terminate or restrict your access to any or all of the Interactive Areas at any time without notice for any reason whatsoever, including your violation of these Terms of Use. You acknowledge that some Interactive Areas may be available only through the Site, while others may be available both through the Site and one or more other sources over which HotelRegistrations has no control.
HotelRegistrations reserves the right to remove, abridge or redact any Content posted to any Interactive Areas.
You acknowledge that all Interactive Areas are public and not private communications, and that therefore others may read your communications without your knowledge. Always use caution when giving out any personally identifying information about yourself or your family (including children) in any Interactive Areas. HotelRegistrations does not control or endorse the Content found in any Interactive Areas and, therefore, HotelRegistrations specifically disclaims any liability with regard to the Interactive Areas and any actions resulting from your participation in the Interactive Areas. Generally, any communication which you post to the Site (whether in chat rooms, discussion groups, message boards or otherwise) is considered to be non-confidential and HotelRegistrations is under no obligation to treat such Content as proprietary information. You represent and warrant that (i) you own and control all of the rights to the Content that you post or otherwise distribute, or you otherwise have the lawful right to post and distribute such Content to or through the Site and grant the rights set forth herein; (ii) such Content is accurate and not misleading; and (iii) use and posting or other transmission of such Content does not violate these Terms of Use and will not violate any rights of or cause injury to any person or entity. You further grant HotelRegistrations the right to pursue at law any person or entity that violates your or our rights in the Content in breach of these Terms of Use.
HotelRegistrations reserves the right to use User Content as it deems appropriate, including without limitation by deleting, editing, modifying, rejecting, or refusing to post it. HotelRegistrations is under no obligation to offer you any payment for Content that you submit or the opportunity to edit, delete or otherwise modify such Content once it has been submitted to HotelRegistrations. HotelRegistrations shall have no duty to attribute authorship of Content to you, and shall not be obligated to enforce any form of attribution by third parties.
Any use of the Interactive Areas or other portions of this Site in violation of the foregoing violates the terms of these Terms of Use and may result in, among other things, termination or suspension of your rights to use the Interactive Areas and/or this Site.
Section 5. Booking, Payment, and Hotel Reservations
Unlike travel search sites that redirect you to a third-party website to complete your purchase, HotelRegistrations is a hotel online travel agency (OTA). When you make a reservation through us, you search for, select, and pay for your hotel room on the Site. As explained in the opening paragraphs of these Terms of Use, each such reservation is processed by Lexyl Travel Technologies, LLC, which owns and operates the Booking Pages, acts as merchant of record, and collects payment on behalf of itself and/or the hotel property providing your room. Room availability, room rates, cancellation policies, taxes, fees, and other reservation-specific terms are supplied to Lexyl by the hotel properties and/or third-party wholesalers and suppliers with which Lexyl has partnered (collectively, “Suppliers”), and may vary by hotel, rate plan, and date of stay.
You are responsible for reviewing and accepting (i) the specific rate rules, cancellation policy, and any supplemental terms presented to you before you complete a booking, and (ii) Lexyl’s Booking Terms & Conditions at checkout. Once a reservation is confirmed, changes and cancellations are subject to the policy applicable to that specific reservation, which may include penalties up to and including the full cost of the reservation.
Neither HotelRegistrations nor Lexyl owns, operates, or manages the hotel properties listed on the Site. All hotel accommodations, amenities, and services are provided by the applicable Suppliers, and neither HotelRegistrations nor Lexyl is responsible for the acts or omissions of any Supplier, including but not limited to the condition of the property, the quality of service provided, or the accuracy of Supplier-provided content (such as photos, amenity lists, and descriptions).
Section 6. International Travel Destinations
When you book an international hotel reservation or plan international trips using the Site, you are responsible for ensuring that you meet all foreign entry requirements and that your travel documents, including passports and visas, are in order.
For passport and visa requirements, please consult the relevant embassy or consulate for information. Because requirements may change at any time, be sure to check for up-to-date information before booking and departure. HotelRegistrations accepts no liability for a traveler who is refused entry into any country because of the traveler’s failure to carry the travel documents required by any authority or country, including countries the traveler may just be passing through en route to his or her ultimate destination.
It is also your responsibility to consult your physician for current recommendations on inoculations before you travel internationally, and to ensure that you meet all health entry requirements and follow all medical guidance related to your trip.
Although most travel, including travel to international destinations, is completed without incident, travel to certain destinations may involve greater risk than others. HotelRegistrations urges travelers to investigate and review travel prohibitions, warnings, announcements and advisories issued by the United States Government and destination country governments prior to booking and/or departing for travel to international destinations. Information on conditions in various countries and the levels of risk associated with travel to particular international destinations can be found at www.state.gov, www.tsa.gov, www.dot.gov, www.faa.gov, www.cdc.gov, www.treas.gov/ofac and www.customs.gov.
BY LISTING INFORMATION RELEVANT TO TRAVEL TO PARTICULAR INTERNATIONAL DESTINATIONS, HOTELREGISTRATIONS DOES NOT REPRESENT OR WARRANT THAT TRAVEL TO SUCH POINTS IS ADVISABLE OR WITHOUT RISK, AND IS NOT LIABLE FOR DAMAGES OR LOSSES THAT MAY RESULT FROM TRAVEL TO SUCH DESTINATIONS.
Section 7. Liability Disclaimer

THIS SECTION LIMITS HOTELREGISTRATIONS’S AND LEXYL’S LIABILITY TO YOU FOR ISSUES THAT MAY ARISE IN CONNECTION WITH YOUR USE OF THE SITE AND/OR ANY RESERVATION MADE THROUGH IT. IF YOU DO NOT UNDERSTAND THE TERMS IN THIS SECTION OR ELSEWHERE IN THE TERMS OF USE, PLEASE CONSULT A LAWYER FOR CLARIFICATION BEFORE ACCESSING OR USING THIS SITE.

If HotelRegistrations is found liable for any loss or damage that arises out of or is in any way connected with your use of the Site (including its booking services), then such liability will in no event exceed, in the aggregate, the greater of (a) the amount actually paid by you for any reservation giving rise to the claim, or (b) One Hundred Dollars (US $100.00). Any such liability on the part of Lexyl — either in addition to or in lieu of HotelRegistrations — would be subject to any caps and/or other limitations set forth in Lexyl’s Booking Terms & Conditions.
This limitation of liability reflects the allocation of risk between the parties. The limitations specified in this section will survive and apply even if any limited remedy specified in these Terms of Use is found to have failed of its essential purpose. The limitations of liability provided herein inure to the benefit of HotelRegistrations, Lexyl and their respective successors and assigns.
HotelRegistrations, in conjunction with Lexyl, operates a hotel booking website, and reservations made through the Site are booked and paid for directly on the Site. Room rates, availability, and other pieces of hotel information are supplied to Lexyl by third-party Suppliers. At the time we publish such information, we believe it to be valid. However, neither HotelRegistrations nor Lexyl has control over the Suppliers, and therefore neither warrants or guarantees that Supplier-provided offers will not change or become unavailable. Nor is either responsible for the products, services, or content of any Supplier(s) or hotel property(ies).
Section 8. Indemnification
You agree to defend and indemnify HotelRegistrations and Lexyl (together with their respective officers, directors, employees, Suppliers and agents) from and against any third-party claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature (including but not limited to reasonable legal and accounting fees) resulting from:
• (i) your breach of these Terms of Use or the documents referenced herein (including Lexyl’s Booking Terms & Conditions);
• (ii) your violation of any law or the rights of any third party; or,
• (iii) your use of the Site or any portion thereof (including the Booking Pages).
Section 9. Links to Third-Party Sites
Apart from the on-Site booking and payment process described in Section 5 above, this Site may also contain hyperlinks to websites operated by parties other than HotelRegistrations or Lexyl. Such hyperlinks are provided for your reference only. Neither HotelRegistrations nor Lexyl controls such third-party websites and neither is responsible for their contents. Further, it is up to you to take precautions to ensure that whatever links you select or software you download (whether from the Site or other websites) is free of viruses, malware, worms, trojan horses, defects and other items of a destructive nature. The Site’s inclusion of any hyperlinks to third-party websites does not imply any endorsement of the material on such websites or any association with their operators. If you decide to access third-party websites, you do so at your own risk. In some cases, you may be asked by a third-party website to link your HotelRegistrations profile to a profile on the third-party site. Choosing to do so is purely optional, and the decision to allow such information to be linked can be disabled at any time.
Section 10. Software Available on the Site
Unless otherwise specified, the Content on the Site is presented to provide information regarding and to promote our services, partners and other products available only in the United States (“U.S.”), its territories, possessions and protectorates. The HotelRegistrations Site is controlled and operated by Cognius from its offices in the Commonwealth of Massachusetts in the U.S. HotelRegistrations makes no representation that Content on the Site is appropriate or available for use outside of the United States. Those who choose to access the Site from outside of the United States do so on their own initiative and are responsible for compliance with local laws, if and to the extent that local laws are applicable. Software from the HotelRegistrations Site is further subject to United States export controls. No software from the HotelRegistrations Site may be downloaded or otherwise exported or re-exported (a) into (or to a national or resident of) Cuba, Iraq, Sudan, North Korea, Iran, Syria, or any other country to which the U.S. has embargoed goods, or (b) to anyone on the U.S. Treasury Department list of Specially Designated Nationals or the U.S. Commerce Department’s Table of Deny Orders. By using the HotelRegistrations Site, you represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list.

Section 12. Jurisdiction and Governing Law
